Terms of Service

These Terms of Service ("Terms") govern your access to and use of Spol, including the Spol website, browser extensions, applications, APIs, and all related services (collectively, "Spol" or "the Service"), operated by Spol Inc. ("we," "us," or "our").

By accessing or using Spol, you agree to these Terms and our Privacy Policy. If you do not agree to either, you may not use Spol.

1. Eligibility

You may use Spol only if you have the legal capacity to enter into a binding agreement under applicable law. If you are using Spol on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

We may suspend or deny access to anyone we determine is not eligible to use the Service.

2. Accounts & Authentication

2.1 Account Creation

Some features of Spol require you to create an account. When you do, you agree to provide accurate and current information and to keep it up to date.

2.2 Account Security

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. If you suspect unauthorized access, you must notify us promptly at contact@spol.io. We are not liable for losses resulting from unauthorized use of your account.

2.3 Account Termination

You may delete your account at any time. We may suspend or terminate your account as described in Section 10.

3. Privacy & Data Use

Your privacy matters to us. Our Privacy Policy explains in full what information we collect, how we use it, how it is shared, and your rights under applicable Canadian law (PIPEDA).

By using Spol, you agree to the data practices described in our Privacy Policy.

3.1 Chat Data License Grant

When you use Spol's chat features, you submit content including prompts, questions, messages, context, and media references ("Chat Data").

You retain ownership of your Chat Data. By submitting Chat Data, you grant Spol Inc. a worldwide, non-exclusive, royalty-free license to:

• Host, store, process, and display your Chat Data as needed to provide the Service
• Use your Chat Data to train, evaluate, tune, test, and improve machine learning models and AI systems that power Spol

This training permission survives account deletion to the extent that Chat Data has already been incorporated into model training pipelines, evaluation datasets, derived outputs, safety systems, or aggregated service improvements. Deleting your account will stop future collection of Chat Data but cannot reverse data already used in training.

You represent that you have the necessary rights to submit all Chat Data you provide to Spol.

4. Acceptable Use

4.1 Permitted Use

Spol is provided to help you ask questions about media and related content. You may use Spol for personal, non-commercial purposes in accordance with these Terms and applicable law.

4.2 Prohibited Conduct

You agree not to:

• Use Spol for any unlawful purpose or in violation of applicable law
• Submit content that is infringing, deceptive, abusive, harassing, defamatory, or invasive of others' privacy
• Attempt to reverse engineer, decompile, or circumvent any protected part of the Service
• Bypass or attempt to bypass usage limits, rate limits, or access controls
• Access the Service through automated means (e.g., scraping, bots) without our written permission
• Interfere with the Service's infrastructure, security, or integrity
• Use Spol in a way that violates the terms of any third-party platform the Service interacts with
• Impersonate any person or entity, or misrepresent your affiliation

Violation of these rules may result in immediate suspension or termination of your access.

5. Third-Party Services

Spol may interact with or link to third-party websites, streaming platforms, APIs, browser extensions stores, or developer tools. Your use of any third-party service is governed by that service's own terms and privacy policies.

Spol is not responsible for the content, availability, security, or practices of any third-party service. We make no representations or warranties regarding third-party services.

6. Intellectual Property & Ownership

6.1 Spol's Intellectual Property

Spol Inc. and its licensors own all rights to the Service, including its software, website, branding, designs, documentation, and related materials. These Terms do not transfer any ownership of Spol's intellectual property to you. You may not use Spol's name, logo, or branding without our prior written permission.

6.2 Your Content

As between you and Spol, you retain ownership of Chat Data and other content you submit to the Service. The licenses you grant us under Section 3 allow us to operate and improve Spol, but do not transfer ownership of your content.

7. Service Availability & Content Quality

7.1 Availability

Spol aims to provide a reliable service but does not guarantee uninterrupted availability. We may modify, limit, suspend, or discontinue any feature or part of the Service at any time, with or without notice.

We do not guarantee support for every show, platform, media source, language, or use case.

7.2 Output Quality

Spol uses AI to generate responses. We make no guarantee that outputs will be accurate, complete, appropriate, inoffensive, or suitable for your needs. AI-generated responses may contain errors, omissions, outdated information, or content you find objectionable.

You are solely responsible for evaluating and verifying any output before relying on it. Spol is not liable for decisions made based on AI-generated responses.

8. Fees & Usage

Some features of Spol may be subject to usage limits or paid plans. Where applicable, the terms of any subscription or purchase will be presented at the time of purchase and incorporated into these Terms.

We reserve the right to modify pricing and features with reasonable notice.

9. Changes to the Service

We may update, improve, or discontinue parts of Spol at any time. If we make changes that materially affect your use of the Service, we will provide notice through the Service or by updating the date at the top of these Terms.

10. Suspension & Termination

10.1 Termination by You

You may stop using Spol at any time and may request account deletion at contact@spol.io.

10.2 Termination by Spol

We may suspend or terminate your access to Spol at any time, with or without notice, if we determine that you have:

• Violated these Terms
• Created legal, security, operational, or reputational risk for Spol
• Engaged in conduct harmful to other users or third parties

10.3 Effect of Termination

Upon termination, your right to use Spol ends immediately. The following sections survive termination: Privacy & Data Use (Section 3), Intellectual Property & Ownership (Section 6), Disclaimers (Section 11), Limitation of Liability (Section 12), Dispute Resolution (Section 13), and Governing Law (Section 14).

11. Disclaimers

The Service is provided on an "as-is" and "as-available" basis. To the fullest extent permitted by applicable law, Spol Inc. disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or free of harmful components.

We make no warranty regarding the accuracy, completeness, reliability, or suitability of any information or output provided through the Service.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Spol Inc. and its directors, officers, employees, agents, and licensors will not be liable for:

• Indirect, incidental, special, consequential, exemplary, or punitive damages
• Loss of profits, revenue, data, goodwill, or anticipated savings
• Service interruption or the cost of substitute services
• Damages arising from reliance on AI-generated output

In all cases, Spol's total aggregate liability for any claim arising from or relating to the Service will not exceed the greater of: (a) the amount you paid to Spol in the twelve months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).

Nothing in these Terms limits liability that cannot be excluded under applicable Canadian law.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal claim, you agree to first contact us at contact@spol.io and give us a reasonable opportunity (at least thirty (30) days) to resolve the dispute informally.

13.2 Waiver of Arbitration

Neither party is required to submit disputes to binding arbitration. Both you and Spol Inc. expressly waive any right to demand mandatory arbitration of disputes arising from or relating to these Terms or the Service. Disputes that cannot be resolved informally will be brought before the courts as described in Section 14.

13.3 Waiver of Class Actions

To the extent permitted by law, you agree that any dispute will be brought on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration against Spol Inc.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You irrevocably submit to the exclusive jurisdiction of the courts located in Ontario, Canada for the resolution of any disputes arising under or relating to these Terms or the Service.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide additional notice through the Service.

Your continued use of Spol after updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to updated Terms, you must stop using Spol.
